Film producer Ambitious Entertainment files to list, naming micro-drama in its strategy
The Vancouver-run, Nevada-incorporated company is registering a 4,000,000-share offering at an indicative $4.00 to $5.00 and intends to list on NYSE American. Its auditor has raised substantial doubt about its ability to continue as a going concern.
What this basis means: Regulatory filing, government body, court or industry association.
Ambitious Entertainment, Inc. filed Amendment No. 3 to its Form S-1 registration statement with the Securities and Exchange Commission on 6 August 2026. The company is Nevada-incorporated with principal executive offices in Vancouver, British Columbia, and is led by chief executive Kirk E. Shaw. Its production record to date is feature film, including the 2024 slasher All My Friends are Dead, which premiered at the Tribeca Film Festival.
The filing registers 4,000,000 shares of common stock at an estimated price of $4.00 to $5.00 per share. The company intends to list on NYSE American; the ticker is left blank in the document, and the filing states that if the listing application is not approved it will not proceed with the offering.
Micro-drama appears as a strategy pillar rather than an existing business. Under a heading covering multi-platform monetisation, the company states that it intends to develop and distribute micro-drama content, which it also calls vertical drama, using digital-first marketing, influencer collaboration and pay-as-you-watch subscription models. No title, slate, partner or launch date is disclosed. The filing cites Media Partners Asia's report The Micro-Drama Economy for market sizing, using the figures MPA published in September 2025.
The financial disclosure is stark. The auditor's report as at 31 December 2025 carries a going-concern explanatory paragraph citing recurring net losses and an accumulated deficit. The company reported negative working capital of $14,390,940 against cash of $1,070, and a net loss of $1,761,069 for the year.
